Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Samvion Labs LLC (“Samvion Labs”, “we”, “us”, or “our”) governing your access to and use of MyVitalSync (myvitalsync.app) and all related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

MyVitalSync is a consumer health technology platform that enables users to upload laboratory test reports, receive AI-assisted analysis of lab marker values, track health metrics over time, and access personalized health insights. The Service is intended for personal, informational wellness use only.

2. Not Medical Advice

IMPORTANT: MyVitalSync is not a medical device, clinical diagnostic tool, or healthcare provider. The Service does not provide medical advice, diagnosis, or treatment recommendations.

• All content, analysis, health scores, biological age estimates, and insights generated by the Service are for informational and wellness purposes only.
• AI-generated analysis may contain errors, omissions, or inaccuracies. Lab result interpretation requires clinical context that the Service cannot provide.
• Never disregard professional medical advice or delay seeking medical care based on information from MyVitalSync.
• Always consult a qualified healthcare provider for diagnosis, treatment decisions, and interpretation of your laboratory results.
• If you are experiencing a medical emergency, call 911 or your local emergency number immediately.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for use in the United States. Users outside the United States access the Service at their own risk and are responsible for compliance with local laws.

4. Account Registration

• You must provide accurate, current, and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at privacy@labtrends.co if you suspect unauthorized access to your account.
• You may not create accounts for other individuals without their explicit consent.
• One account per person. Multiple accounts for the same individual are not permitted.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

• Upload lab reports belonging to other individuals without their explicit written consent
• Use the Service to diagnose, treat, cure, or prevent any disease or medical condition
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Use automated tools, bots, or scrapers to access the Service
• Upload content that is fraudulent, misleading, or does not represent genuine laboratory results
• Attempt to gain unauthorized access to other users’ accounts or data
• Use the Service in any manner that violates applicable federal, state, or local law
• Resell, redistribute, or sublicense access to the Service without written authorization

6. Your Content and Data

6.1 Ownership

You retain ownership of all lab reports and health data you upload to the Service. By uploading content, you grant Samvion Labs a limited, non-exclusive, royalty-free license to process, analyze, and store your content solely for the purpose of providing the Service to you.

6.2 Accuracy

You represent that the lab reports you upload are genuine documents and that the health information you provide in your profile is accurate to the best of your knowledge. Providing false health information may result in inaccurate analysis.

6.3 Data Use for Improvement

We may use de-identified, aggregated data derived from usage of the Service to improve our algorithms and develop new features. This data contains no personally identifiable information and cannot be linked back to individual users.

7. Subscription and Billing

• MyVitalSync offers both free and paid subscription tiers. Features available on each tier are described on the pricing page.
• Paid subscriptions are billed in advance on a monthly or annual basis via Stripe.
• Subscription fees are non-refundable except as required by applicable law or as described in our refund policy.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We reserve the right to modify pricing with 30 days advance notice to subscribers.
• Failed payments may result in suspension of access to paid features.

8. Intellectual Property

The Service, including its design, algorithms, software, text, graphics, and all other content created by Samvion Labs, is owned by Samvion Labs LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent. The MyVitalSync name and logo are trademarks of Samvion Labs LLC.

9. Third-Party Services

The Service integrates with third-party providers including AWS (infrastructure and AI processing), Supabase (authentication), and Stripe (payments). Your use of these integrations is subject to the respective providers’ terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. SAMVION LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED ANALYSIS IS PROBABILISTIC AND MAY CONTAIN ERRORS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMVION LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR HEALTH OUTCOMES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Samvion Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any health decisions you make based on information from the Service.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time from within the Service settings. Sections 2, 8, 10, 11, 12, and 14 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration in Duval County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, for significant changes, by sending an email to your registered address at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Samvion Labs LLC regarding the Service and supersede all prior agreements.
